1. Scope
1.1 These General Terms and Conditions apply to all offers, deliveries and services provided by MegaPeptidesEU.
1.2 They apply to business customers and consumers alike, but toward consumers only insofar as mandatory statutory provisions do not prevail.
2. Subject Matter / Intended Use
2.1 The products offered by MegaPeptidesEU are sold exclusively as research chemicals and laboratory/research substances.
2.2 The products are intended solely for lawful research, analytical and laboratory purposes.
2.3 The products are not intended for application on or in the human or animal body and are not offered as medicinal products, medical devices, food, food supplements or cosmetic products.
3. Orders and Customer Responsibility
3.1 By placing an order, the customer confirms that they will independently review and comply with the legal requirements at the destination.
3.2 The customer is obliged to handle the products only for their intended purpose, competently and in compliance with all applicable safety, storage, transport, labelling and use regulations.
3.3 Any use that deviates from the intended purpose, or is improper or unlawful, is at the customer's own risk to the extent legally permitted.
4. Product Information
4.1 All information on the website, in product descriptions, data sheets, specifications, certificates, labels or other documents serves exclusively as a general description of the goods.
4.2 This information does not constitute a guarantee, an assurance of specific characteristics or a commitment of suitability for a particular purpose, unless expressly agreed otherwise in writing.
4.3 The customer is obliged to independently verify the suitability of the goods for their intended lawful purpose.
5. Conclusion of Contract
5.1 The presentation of products does not constitute a legally binding offer but a non-binding invitation to order.
5.2 MegaPeptidesEU reserves the right to reject orders without stating reasons, in particular where doubts exist regarding eligibility, intended use or legal permissibility.
6. Prices and Payment
6.1 The prices stated at the time of the order apply.
6.2 Unless otherwise stated, prices are exclusive of any applicable shipping costs and other ancillary charges.
6.3 The purchase price is due immediately without deduction, unless expressly agreed otherwise.
7. Delivery and Transfer of Risk
7.1 Delivery periods and dates are approximate unless expressly confirmed as binding in writing.
7.2 To the extent legally permitted, the risk of accidental loss or accidental deterioration of the goods passes to the customer upon handover to the carrier.
7.3 Partial deliveries are permitted insofar as they are reasonable for the customer.
Returns Policy
8. Inspection of Goods and Complaints
8.1 The customer must inspect the goods immediately upon receipt for completeness, identity, transport damage and recognisable defects.
8.2 Obvious defects, incorrect deliveries, transport damage or quantity discrepancies must be reported to MegaPeptidesEU in writing without delay, and at the latest within 1 business day of receipt.
8.3 Hidden or initially non-recognisable defects must be reported to MegaPeptidesEU in writing without delay after discovery, and at the latest within 3 business days of discovery.
8.4 The complaint must include the order number, batch number, article designation, the nature of the complaint and suitable evidence, in particular photographs or test documentation.
8.5 Without prior written consent, products under complaint may not be returned, opened, decanted, relabelled, processed or otherwise altered.
8.6 Opened, used, contaminated, improperly stored, relabelled or further-processed goods are excluded from return, exchange and refund to the extent legally permitted.
8.7 In commercial transactions, the goods are deemed accepted if not notified within the prescribed period, to the extent legally permitted.
8.8 Toward consumers, the periods stated in sections 8.2 and 8.3 are merely a request for prompt notification; statutory consumer rights for defects remain unaffected, in particular the statutory warranty of at least two years and the statutory rights to remedy for defective goods.
9. Returns
9.1 Returns are only permitted after prior written consent from MegaPeptidesEU.
9.2 Unpaid or unauthorised returns do not have to be accepted.
9.3 In the case of a justified complaint, MegaPeptidesEU will decide on the appropriate remedy within the statutory framework, in particular replacement, repair, credit note, price reduction or refund. Statutory rights to remedy apply toward consumers.
9.4 A return or refund is excluded unless a defect exists that impairs the function or intended usability of the product. There is no right of exchange or return for defect-free goods, to the extent legally permitted.
9.5 To prove transport damage, the customer is obliged to record the complete unboxing of the shipment as a video. The recording must begin strictly before the parcel is opened and must show the unopened parcel, the shipping label and the entire opening process without interruption. A photograph is not sufficient as proof. Without a video meeting these requirements, claims for transport damage cannot be accepted, to the extent legally permitted.
Liability and Warranty
10. Warranty
10.1 Where defect rights exist by law, they are governed by the applicable statutory provisions, unless these Terms provide for a valid and permissible deviation.
10.2 Toward consumers, mandatory statutory warranty rights apply without restriction. Under EU law, the seller is liable to the consumer for any non-conformity that existed at delivery and becomes apparent within two years.
10.3 Toward business customers, the right to inspect and give notice of defects in the goods without delay remains unaffected to the extent legally permitted.
11. Limitation of Liability
11.1 MegaPeptidesEU is liable without limitation only in cases of intent, gross negligence, culpable injury to life, body or health, and in cases of mandatory statutory liability. Such mandatory cases may arise in particular from product liability law.
11.2 In the case of slightly negligent breach of essential contractual obligations, liability is limited to the foreseeable damage typical for the contract.
11.3 Otherwise, liability for slight negligence is excluded to the extent legally permitted.
11.4 Liability is excluded, to the extent legally permitted, for damages arising from improper storage, improper handling, use contrary to the intended purpose, application on or in the human or animal body, inadmissible further processing, decanting, relabelling, mixing with other substances, or violations of statutory provisions by the customer.
11.5 Liability for indirect damages, consequential damages, lost profits, loss of data, business interruption or claims of third parties is excluded to the extent legally permitted.
11.6 Contractual clauses may not reduce responsibility for defective products in a way that contradicts mandatory product liability law; injured persons may claim compensation subject to the statutory requirements.
12. Indemnification
The customer shall, to the extent legally permitted, indemnify MegaPeptidesEU against all third-party claims arising from any unlawful, non-purposeful, improper or non-intended use, processing, marketing or transfer of the products attributable to the customer.
13. No Medical or Efficacy Promise
All information provided by MegaPeptidesEU serves exclusively as a product description in a research context. No statements are made regarding therapeutic efficacy, medical suitability or safe use in humans or animals.
Final Provisions
14. Applicable Law
The law of the state in which MegaPeptidesEU is domiciled applies, insofar as no mandatory statutory provisions, in particular relating to consumer protection, prevail.
15. Place of Jurisdiction
If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is the registered seat of MegaPeptidesEU, to the extent legally permitted.
16. Severability
Should individual provisions of these Terms be or become invalid or unenforceable in whole or in part, the validity of the remaining provisions shall remain unaffected.
